Job Description: The Corporate Paralegal supports the legal department in managing corporate governance, transactional activities, and legal documentation. This role is responsible for maintaining corporate records, supporting due diligence efforts, and assisting with legal research and compliance initiatives.

Key Responsibilities:

  • Maintain and manage corporate records and document databases, including governance documents, transactional materials, legal discovery, and other items as needed.
  • Support corporate governance activities, including compiling information for disclosure to the board, contributing to the preparation of resolutions, and entity filings.
  • Assist with due diligence efforts for mergers, acquisitions, and other corporate transactions, including organizing and reviewing documents.
  • Coordinate and produce documentation for legal discovery requests and audits.
  • Draft, review, and organize legal documents and correspondence as needed.
  • Conduct legal and regulatory research and assist in developing recommendations for legal projects.
  • Assist in all follow through for corporate compliance requirements.
  • Investigate claims and gather relevant information and supporting documentation.
  • Liaise with internal stakeholders and external counsel to support legal initiatives.
  • Maintain confidentiality of sensitive and proprietary information.

Qualifications:

  • Paralegal certification or Bachelor’s degree in Legal Studies or a related field.
  • 1–3 years of experience in a corporate legal department or law firm (corporate practice preferred).
  • Strong knowledge of corporate governance and legal documentation processes is a plus.

  • Strong organizational and time-management skills with the ability to manage multiple priorities.
  • High attention to detail and accuracy.
  • Excellent written and verbal communication skills.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint) and document management systems.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Sound judgment and ability to handle confidential information with discretion.
